END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Faircat IXIX ("Licensor") for the use of any soundkit represented at faircat.store ("Asset") which includes audio files, samples, loops, and any other digital content included in the Asset.

1. License Grant

Licensor grants Licensee a non-exclusive, non-transferable, limited license to use the Asset for the purpose of music production. Licensee may incorporate the Asset into their own musical compositions, but cannot sell, distribute, or transfer the Asset as standalone files or in any format to any third party. Licensee may not use the Asset in any manner that violates any applicable laws or regulations.

2. Restrictions

Licensee may not modify, reverse engineer, decompile, or disassemble the Asset or any part of it. Licensee may not create derivative works based solely on the Asset, claim the Asset as their own creation, register it for copyright, or use the Asset in any way that infringes on any intellectual property rights of Licensor or any third party. Licensee may not use the Asset for any illegal or unauthorized purpose.

3. Ownership

Licensor retains all ownership and intellectual property rights in the Asset. Licensee acknowledges that the Asset is protected by copyright and other intellectual property laws.

4. Termination

Licensor may terminate this Agreement immediately if Licensee breaches any of the terms of this Agreement. Upon termination, Licensee must immediately cease all use of the Asset and destroy all copies of the Asset.

5. Warranty Disclaimer

The Asset is provided "as is" with no guarantee of its fitness for a particular purpose or merchantability. To the extent permitted by law, Licensor does not warrant that the Asset will meet Licensee's requirements, or that the operation of the Asset will be uninterrupted or error-free.

6. Limitation of Liability

Licensor shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, even if Licensor has been advised of the possibility of such damages. Licensor's total liability under this Agreement shall not exceed the amount paid by Licensee for the Asset.

7. Indemnification

The Licensee agrees to indemnify and hold the Licensor harmless from any claims, losses, damages, or liabilities arising out of the Licensee's use or misuse of the Asset, violation of this Agreement, or violation of any rights of a third party.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of CALIFORNIA, USA, without giving effect to any principles of conflicts of law.

9. Entire Agreement

This Agreement constitutes the entire agreement between Licensee and Licensor with respect to the Asset, and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between Licensee and Licensor.

By using the Asset, Licensee agrees to be bound by the terms and conditions of this Agreement. If Licensee does not agree to the terms and conditions of this Agreement, Licensee may not use the Asset.
